Terms and Conditions
These Terms and Conditions govern your access to and use of the Madinah Slaise Media website, programming, digital content, communications and related services (collectively, the “Services”). By accessing or using the Services, you agree to these Terms and Conditions. If you do not agree, please discontinue use of the Services.
1. Personal Use Permitted
The Services and all content made available through them are provided primarily for personal, non-commercial use.
Unless expressly authorized in writing by Madinah Slaise Media (“MSM”), you may not reproduce, republish, distribute, sell, license, modify, exploit or otherwise use MSM content for commercial purposes or in a manner inconsistent with these Terms.
Nothing in these Terms limits rights that may otherwise exist under applicable law, including lawful fair use.
2. Compliance With Applicable Law
You agree to use the Services only for lawful purposes and in compliance with all applicable federal, state and local laws and regulations.
You may not use the Services to engage in conduct that infringes or violates the rights of MSM or any third party, including rights relating to copyright, trademark, privacy, publicity, defamation or other intellectual property or personal rights.
All original text, photography, video, audio, graphics, branding, program titles, designs and other materials appearing through the Services may be protected by United States and international intellectual property laws.
3. Communications
Communications submitted to MSM through the website, email, forms or other digital channels should not be considered confidential unless MSM expressly agrees otherwise in writing.
MSM may access, retain or disclose communications when reasonably necessary to operate the Services, respond to inquiries, protect its rights or comply with applicable law, legal process or governmental requests.
Personal information is handled in accordance with any privacy policy separately published by MSM.
4. Security and Prohibited Conduct
You may not knowingly introduce viruses, malware, malicious code or other harmful technology into the Services, nor attempt to interfere with, compromise, gain unauthorized access to or disrupt the operation or security of the Services.
You may not scrape, harvest, probe, reverse engineer or use automated systems to access the Services in a manner that materially burdens, disrupts or circumvents their intended operation, except where such activity is expressly permitted by law.
Use of the Services and any files or links obtained through them is at your own risk.
5. Content and User Submissions
All content created, produced or published by MSM, including video, audio, photography, written material, graphics and original programming (“Content”), remains the property of MSM or its applicable licensors and rights holders.
You may view and access Content for personal, non-commercial purposes. Unless MSM gives prior written permission, you may not reproduce, modify, publicly perform, redistribute, republish, license, sell, create derivative works from or commercially exploit Content.
MSM may remove, revise, restrict or discontinue Content at any time without notice.
If the Services allow you to submit comments, messages, photographs, video, audio or other materials, you represent that you have the legal right to submit them and that your submission does not violate the rights of another person.
By voluntarily submitting material intended for publication, display or promotion by MSM, you grant MSM a non-exclusive, worldwide, royalty-free license to use, reproduce, display, distribute and adapt that material solely in connection with MSM’s programming, editorial, promotional and business activities, unless otherwise agreed in writing.
MSM may reject, remove or moderate submitted material at its discretion.
Third-party websites, platforms and resources linked through the Services are operated independently from MSM. MSM does not control and is not responsible for their availability, accuracy, security, policies or content.
6. Original Programming, Audio and Video
Madinah Slaise Media programming, including Madinah in the Market, Boots on the Ground, live specials, field journalism, interviews, podcasts, radio programming and other audiovisual productions, is protected by applicable copyright and intellectual property laws.
Unless expressly stated otherwise, MSM programming is provided for personal, non-commercial viewing or listening only.
You may share an official MSM webpage or publicly available program link. You may not download, reproduce, edit, re-upload, rebroadcast, retransmit, redistribute, excerpt for commercial use or otherwise repurpose MSM programming without prior written permission, except as permitted by applicable law.
No use of MSM programming may falsely imply sponsorship, endorsement, affiliation or approval by MSM, its host, producers, guests, distribution partners or collaborators.
MSM may modify, withdraw, archive or discontinue programming or access to programming at any time.
7. Disclaimer of Warranties
THE SERVICES AND CONTENT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS TO THE FULLEST EXTENT PERMITTED BY LAW.
MSM MAKES NO GUARANTEE THAT THE SERVICES OR CONTENT WILL ALWAYS BE AVAILABLE, COMPLETE, ACCURATE, CURRENT, SECURE OR ERROR-FREE.
TO THE FULLEST EXTENT PERMITTED BY LAW, MSM DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT.
Editorial, journalistic and documentary content may reflect information available at the time of production or publication and may later become outdated.
8. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, MSM AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, CONTRIBUTORS, LICENSORS AND PARTNERS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES ARISING FROM OR RELATING TO YOUR USE OF, OR INABILITY TO USE, THE SERVICES OR CONTENT.
MSM SHALL NOT BE LIABLE FOR LOSS RESULTING FROM SERVICE INTERRUPTIONS, THIRD-PARTY SERVICES, TECHNICAL FAILURES, UNAUTHORIZED ACCESS, DATA LOSS, RELIANCE ON CONTENT OR OTHER MATTERS OUTSIDE MSM’S REASONABLE CONTROL.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.
9. Indemnification
To the fullest extent permitted by law, you agree to defend, indemnify and hold harmless MSM and its owners, officers, employees, contractors and representatives from claims, liabilities, damages, judgments, losses, costs and reasonable attorneys’ fees arising from:
(a) your unlawful or unauthorized use of the Services;
(b) material you submit through the Services;
(c) your infringement or violation of another person’s rights; or
(d) your material violation of these Terms.
This obligation does not apply to claims caused solely by MSM’s own unlawful conduct.
10. Editorial and Informational Disclaimer
MSM produces journalistic, documentary, cultural, entertainment and informational programming.
Content is provided for general informational and editorial purposes and should not be treated as individualized legal, financial, medical or other professional advice.
Interviews, guest commentary and third-party statements reflect the views of the individuals speaking and do not necessarily represent the views of MSM.
The inclusion of a person, business, organization, product, location or external resource in MSM programming does not, by itself, constitute endorsement.
11. Contests, Giveaways and Promotions
MSM may periodically conduct contests, giveaways, ticket promotions, audience opportunities or similar promotions.
Each promotion may be subject to additional official rules, eligibility requirements, deadlines and restrictions stated in the applicable promotional materials. Those specific rules control if they conflict with this general section.
Unless otherwise stated:
(a) participation is limited to eligible United States residents age 18 or older;
(b) no purchase or payment is necessary to enter or win a sweepstakes;
(c) a purchase will not increase the odds of winning;
(d) winners must respond within the period stated in the applicable promotion, or MSM may select an alternate winner;
(e) MSM may disqualify entries involving fraud, manipulation, abuse, ineligibility or violation of applicable rules;
(f) MSM may modify, suspend or cancel a promotion if fraud, technical failure, circumstances beyond its reasonable control or other conditions materially affect the integrity or operation of the promotion; and
(g) social-media platforms used to publicize a promotion do not sponsor, endorse, administer or assume responsibility for the promotion unless expressly stated otherwise.
Additional disclosures regarding prizes, eligibility, odds, entry methods and other legally required information will be provided when applicable.
12. Intellectual Property and Ownership
MSM and its licensors, collaborators and other applicable rights holders retain all right, title and interest in their respective Content, including copyrights, trademarks, service marks, trade dress, program titles, logos, graphics, audiovisual works, photographs, recordings, written material and other intellectual property.
No ownership rights are transferred to you merely because Content is publicly accessible through the Services.
“Madinah Slaise Media,” MSM program titles, logos and related branding may not be used in a manner that falsely suggests affiliation, sponsorship or endorsement.
Nothing in these Terms grants any license or right except as expressly stated.
13. Modifications and General Terms
MSM may revise these Terms from time to time. Updated Terms become effective when posted to the website unless a later effective date is stated.
Your continued use of the Services after revised Terms become effective constitutes acceptance of the revised Terms.
If any provision of these Terms is determined to be unlawful, invalid or unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law.
MSM’s failure to enforce any provision of these Terms does not waive its right to enforce that provision later.
These Terms constitute the agreement between you and MSM concerning your use of the Services, except where separate written terms or agreements apply.
These Terms are governed by the laws of the State of Washington, without regard to conflict-of-law principles. Any legal action arising from these Terms or the Services shall be brought in a court of competent jurisdiction located in King County, Washington, except where applicable law requires otherwise.
